LEGAL & COMPLIANCE AGREEMENT

Official Agreement

Effective Date: September 15, 2026 | Governing Services Across Orange County, CA

Sections Index
1. Acceptance of Terms & Legal Capacity

By accessing our website, creating an account, or scheduling residential or commercial cleaning services with Good Hands Cleaning Services ("Company," "we," "us," or "our"), you ("Client," "Customer," or "you") acknowledge that you have read, understood, and irrevocably agree to be legally bound by these Terms and Conditions. You affirmatively represent and warrant that you are at least eighteen (18) years of age and hold the legal capacity and ownership or authorized tenancy rights to bind the subject premises to this Agreement.

2. Service Scope & Safety Exclusions

Good Hands Cleaning Services provides non-invasive, professional surface cleaning as agreed upon in writing during initial booking. To safeguard our technicians, the following are strictly excluded from our service scope:

  • Biohazards & Bodily Fluids: Human or animal waste, blood, vomit, medical waste, or pest/rodent infestations.
  • Toxic Materials: Visible black mold, asbestos, industrial chemical residue, or active construction debris requiring specialized remediation.
  • Severe Hoarding: Conditions that impede safe physical egress or present structural instability.
  • Exterior / High-Elevation: Exterior window surfaces higher than ground level or tasks requiring ladders taller than two (2) steps.
  • Weight Restrictions: Moving heavy furniture or major appliances weighing in excess of thirty-five (35) pounds.
3. Quote Estimates & Scope Adjustments

Online, telephonic, and automated quotes reflect baseline estimates derived from standard square footage, room counts, and average residential cleanliness standards. If upon arrival our team discovers excessive soilage, unreported pets, additional rooms, or severe clutter, we reserve the express right to adjust pricing or extend estimated service durations. Our lead technician will seek Client authorization prior to commencing adjusted work; if authorization is refused, we may service only standard scope or assess a cancellation fee.

4. Booking Windows & Arrival Protocol

Due to fluctuating regional traffic conditions across Orange County, logistical variables, and specialized care requirements at preceding appointments, all scheduled service times constitute a two (2) hour arrival window. We shall make reasonable commercial efforts to notify the Client via SMS or phone call if an arrival is anticipated outside this designated window.

5. 24-Hour Cancellation Policy & Lockout Fees

Our cleaning professionals reserve dedicated calendar slots specifically for your appointment. Therefore, the following fees are strictly applied:

  • Timely Notice: Rescheduling or cancellation received more than twenty-four (24) hours prior to the scheduled window incurs no fee.
  • Late Cancellation (Under 24 Hours): Cancellations or postponements made with less than twenty-four (24) hours notice will be charged fifty percent (50%) of the total scheduled service fee.
  • Lockout / Inability to Access: If our crew arrives and cannot access the property within twenty (20) minutes of arrival, a full lockout fee equal to fifty percent (50%) of the service quote will be billed immediately.
6. Property Access, Key Handling & Unsecured Valuables

Clients may provide entry via lockbox, digital door codes, concierge desks, or in-person greeting. The Client is solely responsible for ensuring running water, operational electricity, and ambient climate control during services. Client must securely store and lock away all cash, precious jewelry, fine art, collectibles, firearms, and irreplaceable personal heirlooms prior to technician arrival. The Company accepts no liability for unverified loss claims regarding unsecured cash or loose valuables.

7. Payment Methods, Card Authorization & Recurring Billing

A valid credit or debit card must be securely stored on file at the time of booking. A temporary pre-authorization hold may be placed prior to service. Final payment will be charged automatically upon service completion on the date rendered. For recurring subscription packages (weekly, bi-weekly, monthly), your stored payment card will be charged automatically following each visit unless canceled in accordance with Section 12.

8. 24-Hour Satisfaction Guarantee & Re-Clean Policy
Strict Re-Clean Guarantee Policy
If you are unsatisfied with any cleaned area, you must contact us within twenty-four (24) hours of service completion and submit clear photographic evidence to [email protected]. We will dispatch a crew to re-clean the specific deficiency at zero additional cost within two (2) business days. Because cleaning constitutes delivered labor, our guarantee provides complimentary re-cleans only; cash, credit card, or electronic refunds are not issued under any circumstances.
9. Damage Claims, Reporting Protocol & Depreciated Valuation

While our staff operates with utmost diligence, accidental breakages may occur. All damage claims must be reported in writing within twenty-four (24) hours of service accompanied by photographic documentation and original proof of purchase. Liability determinations will be based on verifiable depreciated fair market value rather than original retail replacement cost. We are not responsible for pre-existing wear, unstable hanging fixtures, unrestored antique surfaces, or unsealed natural marble.

10. Limitation of Liability
To the maximum extent permitted under applicable California law, the aggregate monetary liability of Good Hands Cleaning Services, its officers, contractors, and affiliates for any cause of action arising out of this Agreement shall not exceed the total dollar amount paid by the Client for the specific cleaning service giving rise to the claim.
11. Worker Status & 12-Month Non-Solicitation Covenant

Technicians introduced through the Company are vetted contractors or employees of Good Hands Cleaning Services. Client explicitly covenants that during the term of this service and for a period of twelve (12) consecutive months following the last service date, Client will not directly or indirectly solicit, hire, engage, or contract private cleaning arrangements with any technician introduced by the Company. In the event of a breach of this covenant, Client agrees to pay the Company an immediate, liquidated placement and damages fee of $3,500.00 USD.

12. Recurring Service Plan Management & Termination

Recurring service discounts (such as weekly, bi-weekly, or monthly pricing tiers) are predicated upon continuous service commitments. Clients may cancel or pause recurring plans at any time by providing written notice at least forty-eight (48) hours before their next scheduled visit. If a recurring subscription is terminated prior to the completion of at least three (3) scheduled visits, the Company reserves the right to retroactively charge the difference between the discounted rate and the full single-visit rate.

13. Commercial Cleaning Terms & Master Addenda

Commercial premises, office complexes, and post-construction cleaning projects are governed by individual Master Service Agreements (MSAs) and written Statements of Work (SOW). In the event of any conflict between these general terms and an executed commercial contract, the specific terms of the executed commercial contract shall supersede.

14. SMS & Automated Text Messaging Compliance (TCPA)
TCPA Communications Disclosure
By providing your mobile telephone number during quote requests or booking, you give express consent to receive transactional notifications, schedule updates, dispatch alerts, and service communications via SMS/text messaging from Good Hands Cleaning Services. You may opt out at any time by replying "STOP" to any text message. For assistance, reply "HELP". Message and data rates may apply. We strictly do not sell, rent, or distribute your mobile number or SMS consent records to third parties for marketing purposes.
15. Quality Assurance Photography & Review License

Technicians may capture interior before-and-after photographs solely for internal quality assurance, team training, and dispute documentation. These photos will obscure personal identification, family portraits, and confidential documents. Client grants the Company a non-exclusive, royalty-free license to use anonymized before/after cleaning images and voluntary reviews for marketing, website showcases, and social media presentations.

16. Intellectual Property & Website Anti-Scraping

All content, proprietary cleaning checklists, visual assets, software, logos, and digital code hosted on this website are the intellectual property of Good Hands Cleaning Services. Unauthorized reproduction, web scraping, data extraction, reverse engineering, or framing of our platform is strictly prohibited and subject to legal prosecution under state and federal law.

17. 'As-Is' Warranty Disclaimer

Except as expressly provided in our written 24-Hour Satisfaction Guarantee, our services, software, and web portal are provided strictly on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

18. Mutual Indemnification

Client agrees to defend, indemnify, and hold harmless Good Hands Cleaning Services, its subsidiaries, contractors, and agents from and against all third-party claims, liabilities, damages, losses, or legal costs arising out of Client's breach of this Agreement, animal/pet incidents at the property, or undisclosed hazards on the premises.

19. Mandatory Arbitration & Venue (Orange County, CA)

Any controversy, claim, or dispute arising out of or relating to this Agreement or our cleaning services shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration proceedings shall take place exclusively in the County of Orange, State of California. Both parties waive any right to participate in class-action proceedings or jury trials.

20. Force Majeure & Uncontrollable Circumstances

Neither party shall be held liable for failure or delay in performing scheduled cleaning obligations if caused by circumstances beyond reasonable control, including but not limited to severe weather, earthquakes, power outages, localized utility failures, road closures, government mandates, or public health emergencies.

21. Severability & Entire Agreement

If any provision of these Terms is determined by an arbitrator or court of competent jurisdiction to be unlawful or unenforceable, such determination will not affect the validity of remaining provisions. This Agreement constitutes the complete and integrated agreement between the Client and the Company regarding residential and commercial cleaning services.

22. Modifications & Policy Revisions

We reserve the right to revise or update these Terms and Conditions at any time. Material updates will be indicated by the "Effective Date" at the top of this document. Continued booking or service utilization after amendments are posted constitutes your explicit acceptance of revised terms.
